Client VMware successfully closes merger with Broadcom
In 2022, Broadcom announced plans to acquire VMware for $69 billion. Broadcom is a technology company known for its hardware and semiconductor products. VMware is a leader in cloud and virtualization technology. Both parties supply inputs to servers.
Bates White was retained on behalf of VMware to support the merging parties’ advocacy efforts, which were primarily focused on vertical foreclosure theory. The Bates White team conducted analysis and designed a survey to examine whether the proposed transaction would give Broadcom an incentive to make VMware’s software product unavailable or less favorable to Broadcom’s hardware rivals.
This transaction was investigated in multiple jurisdictions, including the United States, European Union, United Kingdom, and China. The transaction closed globally in 2023.
