Bates White experts assist US insurance broker Arthur J. Gallagher’s successful acquisition of AssuredPartners
In late 2024, Arthur J. Gallagher & Co., the third largest US insurance broker, announced its plan to acquire AssuredPartners, the tenth largest US insurance broker, for $13.5 billion. It would be the largest sale of a US insurance broker in the history of the industry.
Bates White experts Slava Zayats and George Rozanski led economic analyses through all stages of antitrust work ranging from pre-deal antitrust risk assessment to an extensive review by the Department of Justice (DOJ), including initial voluntary responses, Second Request support, and ultimately Second Request compliance, which was accomplished in just four months. Drs. Zayats and Rozanski, along with Tetyana Shvydko and Zenon Zabinski, submitted several sets of economic analyses to the DOJ addressing potential competitive concerns in the provision of brokerage services for commercial property and casualty insurance and for employee benefits. Dr. Shvydko also focused on guiding Gallagher's data responses to the Second Request, and Dr. Zabinski coordinated all advocacy submissions. The transaction closed in August 2025 without conditions.
