Anthem/Cigna proposed merger litigation

On behalf of health insurer Anthem, provided expert testimony in case concerning Anthem's proposed $54 billion merger with Cigna. Anthem alleged that Cigna breached the merger agreement, sabotaged the merger, and had no right to terminate the agreement or to collect a $1.85 billion reverse break-up fee specified in the agreement. Both Anthem and Cigna sued for substantial damages regarding the terms and termination of the merger agreement, including the "best efforts" obligation. The trial was held; a decision is pending before the Delaware Chancery Court.
