In 2025, CalPortland agreed to acquire Vulcan’s California ready-mix concrete plants for $712 million pending regulatory approval. CalPortland and Vulcan are two leading suppliers of ready-mix concrete in California. The US Department of Justice (DOJ) and the California DOJ opened investigations into the proposed deal. The US DOJ subsequently issued a Second Request for additional information.
CalPortland and Vulcan retained Nicholas Hill and Bates White to provide advocacy and to help both companies with their Second Request compliance. The team’s analyses included evaluations such as geographical overlap, market concentration, and distance analysis.
The US DOJ and the California DOJ agreed to allow the deal with a proposed divestiture, and the US DOJ subsequently closed its investigation. The deal closed successfully on June 8, 2026.
