Boris J. Steffen is an expert in accounting, economics, corporate finance, strategy, and valuation.
In addition to serving as a mediator in ability to pay disputes, he has provided expert testimony in
litigation and international arbitration regarding acquisition structure, competitive effects, contracts,
enterprise and option valuation, fairness of consideration, lost profits, market definition, value
impairment, and solvency in antitrust, breach of contract, fraudulent conveyance, monopolization,
resale price maintenance, and securities disputes, and advised in mergers and acquisitions, divestitures,
joint ventures, and leveraged buyouts valued in excess of $100 billion.
Mr. Steffen has consulted in a wide range of industries, including
food and beverage, aerospace, automotive, business supplies and
services, cable network/media, chemicals, consumer products,
electronic imaging, defense, financial services, health care,
information technology, Internet, insurance, computer,
energy/utilities, microprocessor, pharmaceuticals, printing, retail,
tobacco, savings and loan, and steel. He served as a testifying expert
on merger synergies in
Federal
Trade Commission v. Staples, Inc., which remains the
state-of-the-art in merger antitrust enforcement, and in In re
The Matter of the Joint Petition of Public Service Electric and Gas
Company and Exelon Corporation for Approval of a Change in Control of
Public Service Electric and Gas Company, and Related
Authorizations, the largest proposed utility merger to date.
Prior to joining Bates White, Mr. Steffen was a Senior Consultant
with the Economics and Policy Group of LECG, Inc., and a Senior Staff
member of the Federal Trade Commission, Bureau of Competition. In
prior positions, he was Manager of Acquisitions in Corporate
Development for PG&E Generating, and a Group Leader/Accountant
and Auditor in Corporate Finance for Inland Steel Industries, Inc.
